Terms of Service

These terms govern your use of Jyovix Studio, a marketing platform operated by First Circle Biztech Private Limited, a company registered in Karnataka, India ("Jyovix Studio", "we", "us"). By creating an account or using the platform, you agree to them. If you are agreeing on behalf of a company, you confirm you are authorised to bind it. Jyovix Studio is delivered to businesses through the Udyami Kutumba platform, and you may reach it from within that platform. These terms apply wherever you use Jyovix Studio.

1. What the service does

Jyovix Studio lets a business:

• Plan and schedule social media content
• Publish approved content to its own connected Facebook Pages and Instagram Business accounts
• Create and manage advertising campaigns on Meta platforms within a budget it sets
• View performance analytics for that content and those campaigns

We act on your instruction. Nothing is published and no campaign starts without your explicit approval inside the platform.

2. Your account

• You must give accurate registration details and keep them current.
• You are responsible for everything done under your account, including by your staff.
• Keep your credentials confidential and tell us promptly of any unauthorised access.
• You must be at least 18 and legally able to enter a contract.

3. Connecting social media accounts

To use the platform you connect your own social accounts through the provider's official authorisation flow. You confirm that:

• You own those accounts, or are authorised by the owner to connect them
• You may grant us the permissions requested
• You will disconnect them if that authority ends

You may disconnect at any time from Settings, or from the social platform's own app settings. Disconnecting stops all publishing and analytics for that account immediately.

4. Your content

You keep ownership of everything you upload. You grant us a limited, non-exclusive, revocable licence to store, process, format and transmit it — solely to deliver the service. That licence ends when you delete the content or close your account.

You are responsible for ensuring your content:

• Is yours to publish, or properly licensed
• Does not infringe anyone's intellectual property, privacy or publicity rights
• Complies with Indian law and with the rules of each platform it is published to
• Is not misleading, defamatory, obscene, or unlawful

5. Acceptable use

You must not use Jyovix Studio to:

• Publish spam, malware, or deceptive content
• Impersonate any person or organisation
• Post to accounts you do not own or control
• Breach the terms or advertising policies of any connected platform
• Reverse engineer, scrape, or attempt to gain unauthorised access to the platform
• Resell or sublicense access without a written agreement with us

We may suspend an account that breaches this section, with notice where practicable and without notice where the breach is serious or ongoing.

6. Third-party platforms

The service depends on Meta and other third-party platforms. You acknowledge that:

• Your use of those platforms is governed by their terms and policies, which you must follow independently.
• They may change or withdraw their APIs, features or permissions at any time. Where that limits what Jyovix Studio can do, we are not liable.
• They decide whether content is published, and may reject, remove or restrict content or advertising for their own reasons.
• Analytics figures originate from those platforms. We report what they return and cannot guarantee their accuracy or availability.

7. Advertising and budgets

• Advertising spend is charged by the platform to the payment method on your advertising account, unless we have agreed otherwise in writing.
• You set the budget cap for each campaign. We will not knowingly exceed it, but platform-side delivery and billing are outside our control and small overruns can occur.
• Applicable taxes, including GST on advertising services, are your responsibility.
• We do not guarantee any advertising result — no level of reach, engagement, leads, conversions or return on spend.

8. Fees

• Subscription fees are as set out in your plan or order form, payable in advance.
• Fees are exclusive of GST and other applicable taxes.
• Late payment may result in suspension.
• Except where required by law, fees are non-refundable.
• We may change pricing with 30 days' notice, effective at your next renewal.

9. Availability

We work to keep the platform available but do not guarantee uninterrupted service. Maintenance, third-party outages and events beyond our control may interrupt it. Unless a separate service level agreement applies, the service is provided on an "as available" basis.

10. Our intellectual property

The platform, its software, design and branding belong to First Circle Biztech Private Limited. These terms grant you a right to use the service, not ownership of it. You may not copy, modify or create derivative works from it.

11. Data protection

Our handling of personal data is described in our Privacy Policy, which forms part of these terms. Where we process personal data on your behalf, you remain the controller of that data and are responsible for having a lawful basis to process it.

12. Disclaimers

To the maximum extent permitted by law, the service is provided "as is", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the service will meet your requirements or be error-free.

13. Limitation of liability

To the maximum extent permitted by law:

• Neither party is liable for indirect, incidental, special or consequential loss, or for lost profits, revenue, data or goodwill.
• Our total aggregate liability arising out of or relating to the service is limited to the fees you paid us in the twelve months preceding the event giving rise to the claim.
• We are not liable for advertising spend, platform penalties, account restrictions or content removals imposed by a third-party platform.

Nothing here limits liability that cannot lawfully be limited.

14. Indemnity

You will indemnify us against claims, losses and reasonable costs arising from your content, your use of the service in breach of these terms, or your breach of a third-party platform's terms.

15. Term and termination

• You may close your account at any time from Settings, or by writing to us.
• We may terminate for material breach, non-payment, or where required by law or by a platform we depend on.
• On termination we stop publishing immediately, delete your access tokens, and delete your data per the retention schedule in the Privacy Policy.
• Sections 4, 10, 12, 13, 14 and 18 survive termination.

16. Changes to these terms

We may update these terms. Material changes will be notified by email at least 14 days before they take effect. Continued use after that date constitutes acceptance.

17. Assignment

We may transfer these terms, and the operation of Jyovix Studio, to an affiliated or successor entity — including on a corporate reorganisation or the incorporation of a separate Jyovix Studio entity. We will notify you if that happens. Your rights under these terms are unaffected.

18. Governing law

These terms are governed by the laws of India. The courts of Bengaluru, Karnataka have exclusive jurisdiction, subject to any mandatory rights you have under consumer law.
